Governance Structure

The Bishop of Winchester Academy has a trust board, the composition of which is set out in the Academy’s Articles of Association. Chair is the Revd David Thompson who can be contacted via the academy and the governance professional at: clerk@tbowa.org.  The board has two Vice Chairs, Dr Karen Pendlebury and Mrs Mary O'Sullivan.

The Academy has two committees: Resources and Student Experience (Pay is dealt with by the full Board), to which trustees are appointed.  These are supported by trustee-led working groups.  The Academy also calls on members of the governing body to sit as governors on a disciplinary committee (GDC) or disciplinary appeal committee on an ad hoc basis should either be required.  The Board and its committees have terms of reference which are reviewed annually and contain details of meeting dates, compositions, responsibilities, delegated authorities and matters reserved for the board itself.

The Board recognises that it has overall responsibility for ensuring that The Bishop of Winchester Academy Trust has an effective and appropriate system of control, financial and otherwise. However, such a system is designed to manage rather than eliminate the risk of failure to achieve business objectives, and can provide only reasonable and not absolute assurance against material misstatement or loss.

The Board delegates the day-to-day responsibility to the Principal, as Accounting Officer, for ensuring financial controls conform with the requirements of both propriety and good financial management and in accordance with the requirements and responsibilities assigned to it in the funding agreement between The Bishop of Winchester Academy Trust and the Secretary of State for Education. They are also responsible for reporting to the Board any material weaknesses or breakdowns in internal control.

Under normal circumstances, the full Board meets at least four times a year.

Remit of the Trust Board and Committees

The Trust Board delegates responsibility for functions set out in approved terms of reference to the committees and working groups.  The key ones are the Resources Committee and the Student Experience Committee.  Formal reports are presented to the routine Trust Board meetings that take place towards the end of each term.  Details of the business undertaken and attendance are contained within the related minutes.

The Resources Committee meets at least four times annually and incorporates audit responsibilities and remuneration in additional to finance monitoring. The Chair is Mrs Mary O’Sullivan.

Its purpose is to:

  • Function as the audit committee of the academy;
  • Approve and monitor the annual budget;
  • Approve returns for submission to the DfE;
  • Make recommendations to the Full Trust Board regarding larger spending decisions.

The Student Experience Committee (SEC) meets four times annually (including an admissions meeting) is focussed on the quality of education and the academic environment of the school, and the Chair is Roy Clayton.

Within a scheduled full Board meeting, executive pay and pay policy are agreed. 

 

Revd David Thompson, Chair of Trustees 

I was a pharmacist for nearly thirty years, initially with Boots but then as a non-medical prescriber in the local drug and alcohol team. In 2005 I was ordained in the Church of England with a role as a non-stipendiary curate at Holy Epiphany on Castle Lane but in 2016 I began a three-year half time post as priest in charge. Now officially retired I spend my time doing DIY projects for my grown-up children and sailing with three charities. I have been involved with TBOWA for many years, firstly as a volunteer chaplain prior to academisation, as a Member, and for the last six years as a Trustee.

Dr Karen Pendlebury, Joint Vice Chair of Trustees 

I am the former Director of Student Recruitment and Dean of Admissions at the University of Winchester, now semi-retired after a varied career spanning both public and private sectors. I have worked across transport, energy, the civil service, and higher education, and currently work for Teleperformance.

I gained a BSc in Geology (Leicester), a PhD in Geochemistry (Manchester), an MBA (Manchester Business School), together with other professional qualifications.

An Academy Trustee for over ten years, I am passionate about student progression and using my educational and professional experience to support school development. I believe a positive school experience is vital to every child’s future success.

Mr Roy Clayton, Student Experience Committee Chair 

At 16 I completed my O Levels and began work as an apprentice fitter, combining employment with technical college study. After gaining an ONC in Mechanical Engineering at 18, I progressed to a BSc (Hons), later completing an MSc in Industrial Robotics and an MA in Applied Theology. My career has included systems engineering, team leadership, company directorships, managing director roles, and trusteeships. I founded an IT company in 2000, handing it to the next generation in 2025. I have a particular interest in developing community and opportunity through extra curricular activity in performing arts, visits, cadets, sport and a full range of career opportunity engagements.

Mrs Judy Appleton 

I was born in Zambia, have lived in Bournemouth since the late 1980's. I have been involved in education since then in various roles.  I was a teacher in several primary and middle schools within BCP while supporting our own children through their primary and secondary schools. I am a member of a local church and at one stage helped lead a church teenage group. More recently I retrained as a nurse and worked at Bournemouth Hospital. I've been a trustee at 'the Bishop' since 2021 and have greatly enjoyed reconnecting with education.  It's a privilege to work alongside the staff and students.

Mrs Sue Turner

Mr John Severn 

I was educated at The Manchester Grammar School and Birmingham University. My chosen career was as an accountant. I have worked for a number of private-sector manufacturing businesses, both small and large, in senior financial roles. Although I have worked in France and Germany, I spent most of my career in the UK. Before retiring, a few years ago, I was finance director for a Bournemouth-based manufacturer.

I still have fond memories of my school days. I hope that my life experiences will guide me to contribute to the provision of the best possible education for all TBOWA students.

Mrs Jan Wells 

My professional background has always been in education. I was born and lived in London until I retired and my teaching was in Nursery through to Year 6 in primary phase. I was also a Deputy Headteacher in a large primary school in West London, a job I enjoyed immensely. I retired and moved to Verwood in 2005 and I worked in a challenging primary school working mainly with children with special needs. Having finally retired from full time teaching, I came to The Bishop of Winchester as a Teaching Assistant, again working mainly with reluctant readers, again a very rewarding role. I am now fully retired and becoming a trustee at The Bishop enables me further opportunities to support young people on their learning journeys.

I am the Parent Trustee for the Academy, and I am highly honoured that the parents elected me to this position.

My background is a nurse by profession, qualified for nearly 30 years, and have an extensive interest in Safeguarding, something which I teach to my colleagues on Continuous Practice Development Days. I bring this, and my passion for education, to this position of trust to help support and strive to improve members of the teaching and Trust Board.

My interests include swimming, reading, spending time with my family, collecting various things (much to my wife’s annoyance), and travelling.

 Dr Christine Boardman 

I am a child psychiatrist and serve as the named doctor for safeguarding within a mental health trust. I am also the safeguarding trustee for an international Christian charity and the Designated Person for Safeguarding (DPS) for a local Baptist church.
